Official Rules

These Official Rules apply to the 2024 Eaton Golf Pride^® Sweepstakes (the “Sweepstakes”) to be conducted between October 24, 2024 at 12:01 a.m. Eastern time and ending October 31, 2024 at 11:59 p.m. Eastern time (the “Entry Period”). These Official Rules and other details of these Sweepstakes are all available at [https://www.golfpride.com/disclaimers/], which can be accessed by searching Golf Pride on Instagram

1. Eligibility.

(A) General Eligibility. The Sweepstakes is open to legal residents of the 50 United States and the District of Columbia who are at least eighteen (18) years of age (or the age of majority in your state of residence, whichever is older) at the time of entry (“Entrant”). Employees of Eaton Corporation (“Eaton”) or its affiliates, and their respective officers, directors, attorneys, successors and assigns, advertising and promotion agencies (collectively, “Sweepstakes Entities”), and the immediate family members or individuals living in the same house hold of such persons, are not eligible to enter the Sweepstakes or win any Prize. For purposes of these eligibility rules, “immediate family members” means spouse, children, parents, parents of spouse, siblings, and spouse’s siblings. By entering the Sweepstakes, each Entrant fully and unconditionally agrees to be bound by these Official Rules, and the decisions of Sponsor, which are final and binding in all matters related to the Sweepstakes.

(B) Additional Eligibility Requirements. Prior to being eligible to receive any Prize in any of the Sweepstakes, an Entrant who has been selected as a potential winner of the Sweepstakes must provide Sponsor with any information or certifications needed by Sponsor in Sponsor’s sole judgment. Without limiting the foregoing, a person who has been selected as the potential winner of any Prize may be required to sign a copy of these Official Rules and to complete and sign (1) a Declaration of Compliance, Liability and Publicity Release (except where prohibited) and (3) any other document Sponsor determines is required, necessary or appropriate, in its sole judgment, to confirm the winner’s eligibility and for tax reporting purposes, including without limitation the winner’s Social Security Number or taxpayer identification number. In addition, the winner will be required to provide Sponsor with a signed Release, in the form provided by Sponsor. All of the foregoing, if requested by Sponsor, must be provided by each potential winner within thirty (30) days of being notified that he or she is a potential winner. Being eligible to participate in any of the Sweepstakes or receive a Prize is contingent upon compliance with these Official Rules. The Sweepstakes is subject to all applicable federal, state, territorial, municipal, and local laws and regulations, and is void where prohibited.

2. Agreement to Official Rules. By participating in the Sweepstakes, each Entrant (“you”) agrees to be fully unconditionally bound by these Official Rules, and you represent and warrant that you meet all Eligibility requirements. In addition, you agree to accept the decisions of Eaton as final and binding as it relates to the conduct of the Sweepstakes.

3. How to Enter. Each eligible individual may enter by visiting Instagram and following Golf Pride and Callaway, and subsequently liking the post along with describing their preferred Apex model and Golf Pride Grip during the during the Entry Period. You will receive one (1) entry to the Sweepstakes in this way. Each person may enter the Sweepstakes only one (1) time. All entries become the property of Sponsor and will not be acknowledged or returned. By entering the Sweepstakes, entrants grant the Sponsor the non-exclusive, royalty-free, and irrevocable rights to validate and verify the entry. Entries must comply with all applicable laws, rules, and regulations. Entries generated by a script, macro, or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted.

5. Prize and Odds of Winning. One (1) Prize will be awarded to one (1) winner. The Prize will consist of all of the following:

(A) one set of Callaway^® Apex Irons; with custom fitting

(B) one set of Golf Pride golf club grips, with custom fitting;

(D) two rounds of golf at Pinehurst Resort (the “Golf Rounds”).

Estimated retail value of the Prize is $3,500. The odds of winning a Prize depend on the number of eligible entries received; one (1) Prize will be awarded to one (1) winner.

The Callaway Apex Irons. The winner will receive one set of Callaway Apex irons that are custom-fitted to the winner. The winner may select to have the custom-fitting performed at Golf Pride’s facility in the Pinehurst during the Travel Package, or prior to the trip Callaway will coordinate the fitting through a local Callaway-fitter near the winner’s home location. The winner may choose one full set of Apex irons which are available in three models: Callaway Apex Pro, Apex CB, or Apex MB model.

The Golf Club Grips and Custom Fitting. The winner will receive a set of Golf Pride golf club grips for the Callaway Apex Irons, to be custom-fitted to the winner. The winner may select to have the custom-fitting performed at Golf Pride’s facility in Pinehurst, provided that this is done while the winner is staying at Pinehurst Resort during the Travel Package, or at any Callaway location in the United States. If the winner chooses to have the custom-fitting performed at a Callaway location, the custom-fitting must be scheduled and completed before [want to give a 6 month window].

The Travel Package. The Travel Package will consist of two night’s accommodation at Pinehurst Resort. The winner and guest will each receive a room. Rooms will be a standard single room, single occupancy.

The exact details of the transportation portion of the Travel Package will depend on the proximity of the winner’s home to Pinehurst Resort. Sponsor in its discretion will choose between air travel or ground travel in its sole discretion, based on the location of the winner’s home and air flight availability.

If Sponsor Chooses Air Travel, the winner and one person selected by the winner (the “Guest”) will receive a roundtrip air flight with a commercial airline service, coach-class, between a major airport near the winner’s home (the “Departure Airport”) and an airport near to Pinehurst Resort (the “Arrival Airport”). All airports to be determined by Sponsor in its sole discretion. Winner and winner’s Guest are responsible for travel to and from the Departure Airport. Sponsor will provide the winner and the winner’s Guest with ground transportation to and from the Arrival Airport and Pinehurst Resort. If Sponsor Chooses Ground Travel, the winner and the winner’s Guest will be provided ground transportation to and from the winner’s home and Pinehurst Resort. See “Additional Travel Rules” below.

Additional Travel Rules. The following rules apply to all transportation awarded as part of the Prize. Winner and winner’s Guest must travel within a three-day period between December 1, 2024 and June 1, 2025, or the Prize will be forfeited. Trip must be booked at least three days prior to departure. Travel and accommodations are subject to availability and blackout dates. Any air travel must be round trip. No refund or compensation will be made in the event of the cancellation or delay of any air travel flight. Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by Sponsor’s airline carrier of choice as detailed in the passenger ticket contract.

The winner’s Guest must be eighteen (18) years of age or older as of the date of departure, unless the companion is a child of the winner or is a sibling or friend of the winner with the appropriate parental permissions and releases. The winner and the winner’s Guest must travel on the same itinerary and at the same time. Winner’s travel companion (the Guest) must execute liability/publicity releases prior to issuance of travel documents. Travel restrictions, conditions and limitations may apply. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates.

All expenses and incidental travel costs not expressly stated in the package descriptions above, including but not limited to, additional ground transportation, meals, incidentals, gratuities, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of the winner.

The Golf Rounds. The winner may decide whether the winner will play both golf rounds or will permit his or her Guest to play one of the two golf rounds to be awarded as part of the Prize.

Other Prize Rules. No cash or other prize substitution shall be permitted except at Eaton’s discretion. The Prize is nontransferable. No substitution of Prize or transfer/assignment of Prize to others or request for the cash equivalent by winner is permitted. However, Eaton reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason, subject to applicable law. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of a Prize are the sole responsibility of each winner of the Prize.

6. Winner Selection and Notification. The potential winner of the Sweepstakes will be selected by a random drawing from among all eligible entries to the Sweepstakes, which will be conducted on or around October 24, 2024. The person whose name is selected in the drawing will be notified by Sponsor or Sponsor’s representative within five (5) days of the Sweepstakes drawing, using such person’s profile information on Instagram. Eaton shall have no liability for any person’s failure to receive notices due to spam, junk email, or other security settings, or if such person provided Eaton incorrect or otherwise non-functioning contact information. If any person whose name is selected in the Sweepstakes drawing cannot be contacted, fails to claim the Prize within ten (10) days from the time award notification was sent, or does not satisfy the conditions described in the “Eligibility” section above, then that person will be ineligible to receive a Prize and an alternate winner will be selected by means of a random drawing from among all eligible Sweepstakes entries. If it becomes necessary to select alternate potential winners as described above, Sponsor will do so only five (5) times. If no person selected as a potential winner satisfies all Eligibility requirements or accepts the Prize after these five (5) additional attempts, Sponsor may not award the Prize to any person.

Receipt by each winner of the Prize offered in this Sweepstakes is conditioned upon compliance with any and all federal, state, and local laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY ENTRANT (AT EATON‘S SOLE DISCRETION) WILL RESULT IN SUCH ENTRANT’S DISQUALIFICATION AS A WINNER OF THE SWEEPSTAKES, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

All potential winners are subject to verification of eligibility by Eaton, whose decisions are final and binding in all matters related to the Sweepstakes. No person whose name is drawn in the drawing will be an actual “winner” and eligible to receive a Prize unless and until that person’s eligibility has been verified.

7. Publicity Rights Granted By You. Except where prohibited by law, by entering the Sweepstakes you agree that Eaton, anyone acting on behalf of Eaton’s licensees, successors, and assigns, shall have the right to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the World, without limitation, your entry, name, portrait, picture, voice, likeness, image, statements about the Sweepstakes, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes. without any further compensation, notice, review, or consent.

8. Terms & Conditions. Eaton reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes in the event of virus, bug, non-authorized human intervention, fraud, or other cause beyond Eaton’s control, corrupt or affect the administration, security, fairness, or proper conduct of the Sweepstakes. In such case, Eaton may select the winners from all eligible entries received prior to and/or after (if appropriate) the action taken by Eaton. Eaton reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website or violates these Official Rules. Eaton has the right, in its sole discretion, to maintain the integrity of the Sweepstakes, to void Sweepstakes entries for any legal reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by these Official Rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws. Should such an attempt be made, Eaton reserves the right to seek damages to the fullest extent permitted by law.

9. Additional Conditions and Release. By entering the Sweepstakes, each Entrant agrees for the Entrant and for the Entrant’s heirs, executors, and administrators (a) to be bound by these Official Rules and to interpretation of these rules by Eaton; (b) to release and hold harmless Eaton and its subsidiaries, affiliates, and their respective advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors (collectively, “Released Parties”) from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant’s participation in any of the Sweepstakes and/or his/her acceptance, possession, use, or misuse of a prize or any portion thereof (including any travel related thereto); and (c) to indemnify Released Parties from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such Entrant’s participation in the Sweepstakes and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Sweepstakes; (v) electronic or human error in the administration of the Sweepstakes or the processing of entries.

10. Limitation of Liability. The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an Entrant’s entry into a Sweepstakes is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry into the Sweepstakes, if possible. No more than the stated number of Prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of Prizes as set forth in these Official Rules to be available and/or claimed, Eaton reserves the right to award only the stated number of Prizes by a random drawing among all legitimate, unawarded, eligible prize claims.

11. Disputes. THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF THE UNITED STATES OF AMERICA AND OHIO, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Sweepstakes, each participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Ohio having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Sweepstakes). Each participant further waives all rights to have damages multiplied or increased.

12. Instagram. This Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Instagram. By entering the Sweepstakes, you acknowledge that your Entry is being provided to Sponsor and not to Instagram.

14. Winners List. To obtain a copy of the Winner’s name or a copy of these Official Rules, mail your request along with a stamped, self-addressed envelope to: Eaton 8609 Six Forks Road Raleigh, NC 27615 USA. Requests must be received no later than November 30, 2024 at 11:59pm est.
